1. Scope
These General Terms and Conditions of Sale (hereinafter the "Terms and Conditions") govern the contractual relationship between Daphnea, a company specialized in the B2B sale of clothing and fashion accessories, whose registered office is located at 8-10 rue de la Haie Coq, 93300 Aubervilliers, France, registered with the RCS of Bobigny under number 50209565600018, and any professional customer (hereinafter the "Customer") placing an order via the website www.daphneaparis.com.
Any order implies unconditional acceptance of these Terms and Conditions, which prevail over any other conditions unless expressly agreed in writing by Daphnea.
2. Products
The products offered for sale are those listed on the website www.daphneaparis.com, subject to availability.
Daphnea reserves the right to modify its commercial offer (products, prices, conditions) at any time.
Product photographs and descriptions are for illustrative purposes only and are not contractually binding.
3. Orders
The Customer agrees to provide accurate and up-to-date information when placing an order.
Any order placed on the website constitutes a firm and definitive acceptance, subject to confirmation by Daphnea.
Daphnea reserves the right to refuse or cancel any order from a Customer with whom there is a payment dispute or prior litigation.
4. Prices
Prices listed on the website are expressed in euros, excluding taxes (VAT not included).
They do not include delivery charges, which are invoiced separately and specified at the time of order confirmation.
Daphnea reserves the right to change its prices at any time, with products being invoiced based on the rates in effect at the time of order validation.
5. Payment Terms
Orders must be paid in full at the time of purchase, by credit card, bank transfer, or any other payment method offered on the website.
No shipment will be made until full payment has been received and confirmed.
Failure to pay will result in the automatic cancellation of the order without prior notice or compensation.
6. Delivery
Deliveries are made to the address provided by the Customer when placing the order.
Delivery times are provided for information purposes only and are not contractually binding.
Daphnea cannot be held responsible for delays caused by carriers or in cases of force majeure.
Products are shipped only after full payment has been received.
Shipping costs and risks are borne exclusively by the Customer as of the moment the goods are handed over to the carrier.
It is the Customer’s responsibility to check the condition and conformity of the products upon delivery and, if necessary, to submit any claims to the carrier within the legal timeframe.
7. Retention of Ownership
Products remain the exclusive property of Daphnea until full payment of the total amount due by the Customer, including any related charges.
8. Claims – Returns
No claims will be accepted more than five (5) business days after the receipt of the products.
All claims must be submitted in writing and accompanied by supporting documentation (photos, signed delivery note, etc.).
Returns are only accepted with prior written consent from Daphnea and must be returned in their original packaging, unused.
No credit or refund will be issued until the returned goods have been inspected and approved.
9. Liability
Daphnea shall not be held liable for any indirect or intangible damage, operating loss, loss of profit, or commercial prejudice.
Daphnea's total liability, regardless of the cause, is limited to the amount of the disputed order.
10. Force Majeure
Daphnea shall not be held liable in cases of force majeure or events beyond its control that prevent it from fulfilling its contractual obligations.
11. Personal Data
Data collected is used for order processing and business relationship management.
In accordance with the General Data Protection Regulation (GDPR), the Customer has the right to access, rectify, delete, or object to the processing of their personal data by writing to: [email protected].
12. Intellectual Property
All elements of the www.daphneaparis.com website (texts, images, graphic design, logos, etc.) are the exclusive property of Daphnea or its partners.
Any reproduction or use is strictly prohibited without prior written authorization.
13. Applicable Law – Disputes
These Terms and Conditions are governed by French law.
In the event of a dispute, the parties will attempt to resolve the issue amicably. Failing this, only the courts of the jurisdiction of Daphnea's registered office shall have competence.
